SpendHour is an internet enabled virtual assistant service from SpendHour Solutions LLP herein, referred to as SpendHour (“SpendHour”, “we”, “us”, “virtual assistant”, “agents”, “company”).

These are the Terms and Conditions governing the use of this Service and the agreement that operates between you and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service. The most current version of the User Agreement, which will supersede all earlier versions, can be accessed through the hyperlink at the bottom of the SpendHour Solutions LLP site. You should review the User Agreement regularly, to determine if there have been changes. The continued use of your membership constitutes acceptance of the most recent version of the User Agreement.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If you disagree with any part of these Terms and Conditions then you may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

Your access to and use of the Service is also conditioned on your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes our policies and procedures on the collection, use and disclosure of your personal information when you use the Application or the Website and tells you about your privacy rights and how the law protects you. When you create an account with us, you must provide us information that is accurate, complete, and current at all times. You may be asked to supply certain information relevant to your subscription including, without limitation your name, email, phone number, credit card number, the expiration date of your credit card, your billing/permanent address etc.

You represent and warrant that: (i) You have the legal right to use any credit or debit card(s) or other payment method(s) in connection with any Sign-Up/Subscription; and that (ii) the information you supply to us is true, correct and complete.

By submitting such information, you grant us the right to provide the information to payment processing third parties for purposes of facilitating the completion of your Order.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with Our Service or a Third-Party Social Media Service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Our Service allows and requests you to post/provide content. You are responsible for the Content that you provide to us, including its legality, reliability, and appropriateness.

By providing Content to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such content on and through the Service on your behalf. You represent and warrant that: (i) the Content is Yours (You own it) or You have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

You are solely responsible for the Content and for all activity that occurs under your account, whether done so by you or any third person using your account. You may not transmit any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libellous, defamatory, obscene or otherwise objectionable.

The Company reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any content is appropriate and complies with this Terms, refuse or remove this content.

All materials on the website are copyrighted and are protected under state and federal law, as well as international treaties and the copyright laws of other countries. The website SpendHour.com with the arrangement and compilation of the content used in is the copyrighted material of SpendHour Solutions LLP. Nothing contained on this website should be used as granting, by implication, or otherwise, any license or right to use, reproduce, copy, distribute, adapt, display, edit, publish, transmit, or download any of the copyrights without the permission of SpendHour Solutions LLP. ‘spendhour.com,’ ‘SpendHour,’ and all related logos, products and services described on our website are copyrighted materials. You may not copy or use them without SpendHour’s prior written consent.

We respect the intellectual property rights of others. It is our policy to respond to any claim that content posted on the Service infringes a copyright or other intellectual property infringement of any person or company.

If you or your company are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through our service, you must send an email to the attention of our customer service team via email with a detailed description of the alleged infringement.

You may be held accountable for allegations (including costs and attorneys’ fees) for misrepresenting that any of our content is infringing your copyright.

Some of the links on the website may allow you to leave Spendhour.com website. Third-party sites to which the website may link (“Third-Party Linked Sites”) are not in any way under SpendHour’s control, and SpendHour does not assume any responsibility or liability for any information, content, communications, services, goods or other materials available on such third-party linked sites or for any changes or updates to such sites. SpendHour does not intend links contained on the website to be referrals to, or endorsements of, any Third-Party Linked website or the entities that operate them, and such links are provided for convenience only.

We are a membership-style service and you are automatically enrolled in the bill plan that you select. You will be charged at the beginning of each billing period for the plan that you have selected. You may unsubscribe the services at any time and not be charged further. To maintain service levels, we allocate staffing based on your specific subscription, thus no refunds will be given for unused hours or requests. We reserve the right to change our fees at any time. The changes to our pricing and plans schedule are effective after we provide you with at least thirty (30) days’ notice by posting the changes on the website or contacting you through the email or mailing addresses listed in your account. The changes in plans and pricing for current customers or clients become effective at the beginning of their next billing period. We may choose to temporarily change the fees for our services for promotional events or new services, and such changes are effective when we post the temporary promotional event or new service on the website or any social media platforms.

Payment can be made through various payment methods we have available, such as Visa, MasterCard, Discover Card, American Express cards or online payment methods (PayPal, for example). Payment cards (credit cards or debit cards) are subject to validation checks and authorization by your card issuer. If we do not receive the required authorization, we will not be liable for any delay in signing up, renewals and refunds of the services.

Refunds on non-usage of plan hours by the customer are not permitted. Only Rollovers are permitted as per the terms and condition of the plan. Refunds are not applicable on any plans bought on behalf of the customer with or without consent using the customer’s credit card.

In the event of deficiency in service, SpendHour will make every reasonable effort to rectify the problem and rework on the task / assignment / request and deliver it back to the customer. Refunds on account of deficiency in service will be provided only as “Hours Credit” not exceeding your current plan hours or the total amount of time taken to complete the specific task. All such requests have to be routed to the Customer Service Department of SpendHour either through direct email or through the web form within 3 business days of receipt of a completed task / request, failing which it is presumed that the service quality is acceptable and there is no deficiency in service. The decision of the company will be final and binding on this matter. All tasks / requests are undertaken on a best effort basis only.

SpendHour and its virtual assistants shall be not responsible or liable for insufficient or delayed documentation / information from customer pertaining to any particular task/s, errors/ mistakes not pertaining to SpendHour’s scope of work, inability of customer to follow procedures or requirements or due to any other reasons beyond the control of SpendHour.

Any refunds due to technical errors in Sign-Up, Membership renewal or referral discounts shall be made to your credit card. To prevent fraudulent acts, refunds are only issued back through the same payment process as the payment was made through and no substitutions are allowed. i.e.) if you had paid by your Master card or PayPal then the refund can only be issued back to the same Master card number or PayPal ID you paid with and not a different credit card/cash/cheque/etc.

You agree to pay additional credit card transaction charges if any and fluctuations in currency exchange rate while signing up the services, auto-renewals of membership and refunds due to the payment gateway and the intermediary banks involved in the transaction; we have no control over these charges and cannot predict what they may be. Timelines for receipt of funds into your credit card account may also vary for different cards / banks in case of refunds. If you have any issues with our payments and refund policy, please get in touch with our billing team.

Notwithstanding any damages in any form whatsoever that you might incur, the entire liability of the company and any of its agents under any provision of this Terms and your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by you.

The Service is provided to you “AS IS” and “AS AVAILABLE” and with all faults and defects without commitment of any kind. This Agreement and its performance shall be governed by the laws of the state of Gujarat, India, If SpendHour Solutions LLP takes any action to enforce this Agreement, SpendHour will be entitled to recover from you, and you agree to pay, all reasonable and necessary attorney’s fees, costs, and any cost of arbitration, in addition to any other relief, at law or in equity, to which such parties may be entitled.

We may terminate or suspend your Account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your Account, You may simply ask us to unsubscribe your account.

If you have any concern or dispute about the Service, you agree to first try to resolve the dispute informally by contacting to us, herein referred to as SpendHour Solutions LLP.
